THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION CLAUSE (SEE PARAGRAPH 9) AND CLASS ACTION WAIVER THAT IMPACTS YOUR LEGAL RIGHTS ABOUT HOW TO RESOLVE DISPUTES.
The following Terms and Conditions govern your use of the LetYouKnow, Inc. (“LetYouKnow”) website, the LetYouKnow iPhone application, the LetYouknow Android application and any other mobile applications (collectively, the “LetYouKnow Platform” or the “Platform”). These Terms and Conditions constitute a legally binding agreement (the “Agreement”) between you and LetYouKnow, Inc., its officers and directors (collectively, “LetYouKnow,” “we,” “us” or “our”).
The LetYouKnow Platform may only be used by individuals who are at least eighteen (18) years of age, who fully understand the terms and conditions included in this Agreement, and knowingly, voluntarily, and without duress, agree to all of the terms stated in this Agreement. By accessing our Platform, you are acknowledging that you have read and agreed to the terms of our Privacy Policy and these Terms and Conditions. If you do not agree with any part of our Privacy Policy or these Terms and Conditions, you must discontinue use of the Platform
1. LetYouKnow Platform
The LetYouKnow Platform is an innovative marketplace that empowers consumers to price bid on new vehicles (a “new vehicle” is a vehicle (or car) that has no sale recorded and no title has been issued). Our patented technology instantly determines if there is a match to a dealership within your chosen search radius.
2. LetYouKnow Platform Tools
a. Price Bid (aka LetYouKnow®) Tool
The Price Bid (aka LetYouKnow®) tool is an opaque matching tool that enables you to bid your own price for a new vehicle. It is recommended to research your desired new vehicle and find the best price, then you can bid a lower price once you bid. If you know what specific new vehicle you would like to bid on, you enter in the new vehicle’s year, make, model, trim, exterior color, interior color, packages, and any options and accessories. If you don’t have specific search criteria, you may choose “ANY” for each category, except vehicle’s year, make and model. Enter your zip code, choose the search radius distance (measured from the zip code that you input) from the provided selections that you are willing to travel to complete your new vehicle transaction (or if you are interested in shipping, entering in the search radius distance will determine available shipping options, if shipping is available). Then bid the price that you are willing to pay for your new vehicle. The price you bid includes a nonrefundable $799.00 service and reservation fee, all dealership fees, but does not include any taxes, title fees, registration fees and/or license plate fees and any other fees and/or taxes based on all applicable local, state and federal laws. If the new vehicle is eligible for shipping and you choose the shipping option, you will see the fees (if any) on this page also.
i. If Your Price Bid is Not Accepted
1) Bid Again
If our patented technology determines there is not a match, you may bid the same price again or bid a different price for the same vehicle, with the same search radius and same zip code one hour after your first bid. One hour is the maximum wait time before you can bid again without changing any search criteria; however, the wait time may vary between five minutes and one hour after the bid.
ii. If There is a Match for Your Price Bid (aka LetYouKnow®)
If our patented technology determines a successful new vehicle match, you agree and initial that you have read, understand, and agree to our short disclosure agreement and pay the nonrefundable $799.00 service and reservation fee. The matched dealership’s identity will then be revealed to you and the price you bid is locked in with all dealer fees included and the vehicle will be reserved. You must complete your new vehicle transaction at the matched dealership within 10 calendar days (see Paragraph 3 for full details of the 10-Day Period) of your transaction on the Platform.
b. One Deal Near You (aka LightningCarDeals) Tool
One Deal Near You (aka LightningCarDeals) is a matching tool designed for consumers who would like to see stated prices for new vehicles within 100-mile radius from the zip code you input. Begin by selecting your desired new vehicle criteria, enter your zip code and our patented technology will determine if there is a potential match with a stated price within 100 miles search distance radius from the zip code that you input. If you agree to pay the displayed price for your desired new vehicle you will then read and initial that you have read and agree to a short disclosure agreement. Once you have agreed to the short disclosure agreement, you will confirm the details and the price of the new vehicle. The stated price will include a nonrefundable $799.00 service and reservation fee and all matched dealership fees, but will not include any taxes, title fees, registration fees and/or license plate fees and any other fees and/or taxes based on all applicable local, state and federal laws. If the new vehicle is eligible for shipping and you choose the shipping option, you will see the fees (if any) on this page also. Once we process the nonrefundable $799.00 service and reservation fee, the matched dealership’s identity will be revealed to you and your deal and new vehicle will be reserved for you at the matched dealership for 10 calendar days (see Paragraph 3 for full details of the 10-Day Period) from the date of your transaction on the Platform. Prices on One Deal Near You (aka LightningCarDeals) are system generated by our patented technology, but LetYouKnow cannot guarantee that the prices shown will be accepted. If the deal match is not accepted, your Payment Method will not be charged.
c. Search & Bid (aka UnlockedCarDeals) Tool
Search & Bid (aka UnlockedCarDeals) tool enables you to widen your new vehicle criteria options, which may present an expanded selection of new vehicle matches than the Price Bid (or LetYouKnow®) and One Deal Near You (aka LightningCarDeals) tools. By using the Search & Bid (aka UnlockedCarDeals) tool, you are agreeing to be matched with a new vehicle that may have a higher odometer reading (more than 199 miles) and/or blemishes (such as scratch and dent and other visible or invisible to the naked eye blemishes) that are known to the matched dealership. Begin by selecting your desired new vehicle criteria, zip code and search radius distance. If that new vehicle is available at a matched dealership within the LetYouKnow Dealer Network, our patented technology instantly generates an instant new vehicle match with a stated price (the stated price will include a nonrefundable $799.00 service and reservation fee and all matched dealership fees, but will not include any taxes, title fees, registration fees and/or license plate fees and any other fees and/or taxes based on all applicable local, state and federal laws). Our patented technology may generate several matched new vehicles with various prices that you will have the option of choosing. Any dealership-known disclosures are listed in the new vehicle description for each matched new vehicle. It is important that you review any listed disclosures, as you are accepting the new vehicle with those conditions. Once you select your desired new vehicle with the stated price, you will then initial that you have read and agree to a short disclosure agreement and are then taken to the summary page to review your transaction and if the match is confirmed, you will pay the nonrefundable $799.00 service and reservation fee. The matched dealership’s identity will then be revealed to you and your deal and new vehicle will be reserved for you. You must complete your new vehicle transaction at the matched dealership within 10 calendar days (see Paragraph 3 for full details of the 10-Day Period) of your transaction on the Platform. The price displayed is generated by our patented technology; however, we can't guarantee that this displayed price will always be accepted. If the deal match isn't accepted, your Payment Method won't be charged.
i. Reservation Time Limit for Search & Bid (aka UnlockedCarDeals) & One Deal Near You (aka LightningCarDeals) Tools
When utilizing the Search & Bid (aka UnlockedCarDeals) & One Deal Near You (aka LightningCarDeals) tools, you have 5 minutes to reserve the new vehicle you selected after initialing the disclosure and proceeding to the summary page. When you have 1-minute left of the initial 5-minute period, you will then be given an option to add 2 minutes, which will give you a total of 7 minutes. If you do not take any action (by extending the time or submitting your deal) before the 5-minute period has expired, the new vehicle you selected will no longer be reserved. If you leave the page or close out of the Platform during the reservation time for Search & Bid (aka UnlockedCarDeals) & One Deal Near You (aka LightningCarDeals), you will not be able to proceed with your matched new vehicle deal and will have to begin your new vehicle search again.
3. 10-Day Period and Completing Your New Vehicle Transaction With the Matched Dealership
Your matched new vehicle will be at the matched dealership, in a ready-to-drive-away condition within two hours from the time of your transaction on our Platform during the matched dealership business hours. If the matched dealership is closed at the time of your transaction or will be closed in less than two hours from the time of your transaction on the Platform, the matched dealership will have your matched new vehicle available on the following business day within two hours of the opening time of the matched dealership. It is your responsibility to check the days and times of operation of your matched dealership (including holiday and special modified hours of when the matched dealership is open). You must complete your matched new vehicle transaction within the 10-Day Period described below:
a. 10-Day Period
i. At the exact moment that the nonrefundable $799.00 service and reservation fee transaction is completed on the Platform, you will receive a timestamp of your transaction that will be displayed in your transaction details, commencing the 10-Day Period. The day and time of your transaction is determined by the location of your device or will be determined by the user-configured location of the device from which you have placed your transaction on the Platform.
ii. The 10th day of the transaction is the final day that you can complete your new vehicle transaction before the matched dealership closes. In cases where the tenth day falls on a day the matched dealership is closed, you must complete your matched new vehicle transaction the day prior to the last day of the 10-Day Period, unless the prior day (and/or preceding days to the prior day) is a day the matched dealership is closed on that particular day, which will result in a shorter than 10-day period.
iii. If you do not complete your matched new vehicle transaction within the 10-Day Period, you are forfeiting your matched new vehicle reservation and the nonrefundable $799.00 service and reservation fee. It is not the matched dealership or LetYouKnow’s responsibility to hold your reserved new vehicle longer than the 10-day period. If you cannot complete your new vehicle transaction and pick up your vehicle within the 10-day period, the nonrefundable $799.00 service and reservation fee will not be refunded.
b. 10-Day Period New Vehicle Pickup Scenarios:
i. The 10th day falls after the business hours of the matched dealership, but before 12:00 a.m. of the 11th day, then the cutoff time is the closing time of the matched dealership according to the matched dealership’s time zone on that 10th calendar day. See the following example:
Example: If your transaction for the nonrefundable $799.00 service and reservation fee is completed at 10:00 p.m. EST (Eastern Standard Time) and the matched dealership closes at 9:00 p.m. EST, your 10-Day Period will expire when the matched dealership closes at 9:00 p.m. EST on the 10th calendar day.
ii. The 10th day falls after 12:00 a.m. on the 10th day, but before the matched dealership's closing time of that 10th day, provided that the matched dealership is open that day, the cutoff time will be the matched dealership’s closing time of the 10th day according to their time zone. See the following examples:
Example 1: Your nonrefundable $799.00 service and reservation transaction was completed on the Platform at 6:00 p.m. EST, but the matched dealership closes at 9:00 p.m. EST, your 10-day period will expire when the matched dealership closes at 9:00 p.m. EST on the 10th calendar day; and
Example 2: You complete your transaction for the nonrefundable $799.00 service and reservation fee at 1:00 a.m. EST. The matched dealership closes at 9:00 p.m. MST (Mountain Standard Time). Your 10th day will expire when the dealership closes on the day that 1:00 a.m. EST falls, which would allow you an extra day to complete your new vehicle transaction (unless the dealership is closed on that day). The time countdown follows your time zone, not the matched dealership’s time zone.
iii. If the 10th day falls after 12:00 a.m. of the 10th day at any point during that 10th day when the matched dealership is closed on that 10th day, then the cutoff time will be the closing time of the 9th calendar day of the matched dealership according to their time zone, leaving you with fewer than 10 days under this special case scenario. See the following example:
Example: The matched dealership closes at 9:00 p.m. EST and is closed on Sundays. Your transaction on our Platform was completed at 6:00 p.m. EST – the 10th day falls on Sunday, the day that the matched dealership is closed. In this instance, the transaction will expire when the matched dealership closes at 9:00 p.m. EST on Saturday (the 9th day).
c. Special Case 11-Day Period Scenario:
i. In some cases, an 11-Day Period may arise when you place your successful transaction from a time zone that substantially differs from the time zone of the matched dealership. If the 11th day falls on a day that the matched dealership is open (if the matched dealership is closed on the 11th day, this scenario reverts back to the 10-Day Period), then the 11th day will expire when the dealership closes (it is your responsibility to holiday and special modified hours of when the matched dealership is open are buyer's responsibilities) on that 11th day. See the following example:
Example: Your nonrefundable $799.00 service and reservation transaction was completed on the Platform at 12:00 p.m. GMT+12, while you were on vacation in Wellington, New Zealand (which is May 1st 8:00 p.m. EDT on the dealership time zone). The matched dealership closes at 9:00 p.m. EDT and is open on Sunday. The 11th day will then expire when the dealership closes on the 11th day or May 12th based on the Dealership’s time zone.
4. Payment Method
LetYouKnow accepts credit cards and debit cards (collectively “Payment Method”). When you provide your Payment Method, you are authorizing us (or a third-party payment processor) to process and store your Payment Method and related information. If your card cannot be verified, or is invalid, LetYouKnow may (i) cancel your transaction automatically and/or (ii) prohibit you from using the Platform until you provide us with a Payment Method that is a valid and verifiable payment method. You agree to fully cooperate with LetYouKnow to resolve any problems we encounter with your Payment Method in order to process your transaction on the LetYouKnow Platform. We are not responsible for any fees and/or overdraft fees associated with any Payment Method that you submit. By completing your transaction on the Platform, you are affirming that you are authorized to use the designated Payment Method and that you authorize us to charge your designated Payment Method. If your price bid or deal match is not accepted, your Payment Method will not be charged.
5. Service and Reservation Fee
Once you read, agree and initial the disclosure and submit your Payment Method for the nonrefundable $799.00 service and reservation fee, there is no rescission of this Agreement and no refund will be made (See exceptions in Paragraph 21. w.). We do retain a portion of the nonrefundable service and reservation fee as part of the compensation for our services and as a separate LetYouKnow-initiated transaction, we send a payment of $500.00 to the matched dealership as a prepayment of your deal to reserve that new vehicle. If your deal match is not accepted, your Payment Method will not be charged.
6. Financing
If you are financing your new vehicle, we strongly recommend that you secure financing prior to completing your new vehicle transaction at the matched dealership. You may secure financing with the matched dealership, but LetYouKnow is not responsible or liable for any financing agreement that you make with the matched dealership or any third-party companies. If you are not able to secure financing and cannot complete your new vehicle transaction at the matched dealership, you will lose your matched new vehicle and you will not be refunded the nonrefundable $799.00 service and reservation fee.
7. Identification
You must have your government-issued driver’s license to complete the transaction for the new vehicle you are purchasing at the matched dealership. The person completing the transaction at the matched dealership must be the same person listed in the Buyer Info Section.
8. Short Disclosure Agreement
Before submitting your Payment Method for the nonrefundable $799.00 service and reservation fee, you must read a short disclosure agreement and initial that you have read the short disclosure agreement and agree to the short disclosure agreement, these Terms and Conditions and our Privacy Policy. Once you input your initials and proceed with your deal, you are accepting all of the terms of that disclosure, these Terms and Conditions and our Privacy Policy.
9. BINDING ARBITRATION AGREEMENT
PLEASE READ THIS BINDING ARBITRATION AGREEMENT CAREFULLY AS THE FOLLOWING AFFECTS YOUR LEGAL RIGHTS.
BY USING OUR PLATFORM, YOU ARE AGREEING TO WAIVE YOUR RIGHT TO RESOLVE DISPUTES IN A COURT OF LAW BY A JUDGE OR JURY AND YOU AGREE TO RESOLVE ANY DISPUTES BY BINDING ARBITRATION, EXCEPT IN CASES THAT YOUR CLAIM QUALIFIES IN SMALL CLAIMS COURT.
IF YOU DO NOT AGREE TO THE TERMS OF THIS BINDING ARBITRATION AGREEMENT, YOU MUST NOT USE OUR PLATFORM.
a. PROHIBITION OF CLASS ACTIONS
YOU AND LETYOUKNOW, INC. AGREE THAT EACH PARTY TO THIS AGREEMENT WAIVES ITS RIGHT TO PARTICIPATE IN A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION OR ANY OTHER REPRESENTATIVE ACTIONS BROUGHT AGAINST EITHER PARTY MUST ONLY BE ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS.
b. Disputes and Arbitration
You agree to first inform LetYouKnow, Inc. of any problem, dispute or claim and allow us to try to resolve that issue. If you feel that your claim has not been resolved within sixty (60) days, then you may seek relief through arbitration or small claims court. If you decide to seek arbitration you must send us a Notice of Dispute (“Notice”) emailed to: legal@letyouknow.com or mailed to: LetYouKnow, Inc., 1511 3rd Avenue, Suite 601, Seattle, WA 98101, with the Notice including the nature of your claim and the relief you are seeking.
c. Arbitration Procedures
Arbitration does not use a judge or jury and the appeals process is very limited. The arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms and Conditions as a court would. Arbitration will be administered by the American Arbitration Association (“AAA”) under the provisions of the AAA’s Consumer Arbitration Rules. Arbitration rules and forms may be obtained from the AAA at www.adr.org. The arbitrator will conduct hearings, if necessary, by teleconference and not in person, unless the arbitrator determines that an in-person hearing is necessary. The in-person appearances will be held at a location that is convenient to both parties. If the parties are unable to agree on a location, such determination should be made by the AAA Rules or by the arbitrator.
d. Arbitrator’s Decision
The arbitrator will make a final, binding decision within the time frame specified in the AAA Rules. The arbitrator may grant any remedy, relief, or an outcome that the parties could have received in court, including awards of attorney’s fees and costs. Except as may be required by law, neither you, LetYouKnow, Inc., nor the arbitrator may disclose the existence and content of any arbitration hereunder without the prior written consent of you and LetYouKnow, Inc.
e. Applicable Law
You agree that the Federal Arbitration Act and applicable federal law (or if federal law is not applicable, then the laws of the state of Washington), without regard to principles of conflict of laws, will govern these Terms and Agreements and any dispute of any sort that might arise between you and LetYouKnow, Inc.
f. Severability
If any part of this Disputes and Binding Arbitration section is found to be illegal or unenforceable, those parts will be severed and the remainder of this Binding Arbitration Agreement shall be given full force and effect.
g. Future Amendments to the Agreement to Arbitrate
You and LetYouKnow agree that if LetYouKnow makes any amendment(s) to this Binding Arbitration Agreement in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against us before the effective date of the amendment. The amendment shall apply to all other disputes or claims governed by the Agreement to Arbitrate that have arisen or may arise between you and LetYouKnow, Inc. If you do not agree to any amended terms, you must discontinue use of the LetYouKnow Platform.
10. Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE FULLEST EXTENT OF LAW, YOUR USE OF THE LETYOUKNOW PLATFORM IS ENTIRELY AT YOUR OWN RISK. CHANGES ARE PERIODICALLY MADE TO THE SOFTWARE AND SERVICES AND MAY BE MADE AT ANY TIME WITHOUT NOTICE TO YOU. THE SOFTWARE AND SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LETYOUKNOW MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS OR TIMELINESS OF THE CONTENT MADE AVAILABLE THROUGH THE LETYOUKNOW PLATFORM, SOFTWARE, TEXT, GRAPHICS OR LINKS. LETYOUKNOW DOES NOT WARRANT THAT THE LETYOUKNOW PLATFORM WILL OPERATE ERROR-FREE OR UNINTERRUPTED, THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE PLATFORM WILL BE FREE OF VIRUSES AND OTHER HARMFUL MALWARE. IF YOUR USE OF THE SOFTWARE OR SERVICES RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, LETYOUKNOW SHALL NOT BE RESPONSIBLE FOR THOSE COSTS.
NOT WITHSTANDING THE AFOREMENTIONED, LETYOUKNOW MAKES NO WARRANTY OR GUARANTEE: (A) THAT YOUR DESIRED NEW VEHICLE WILL BE AVAILABLE ON OUR PLATFORM; (B) THAT YOU WILL RECEIVE THE PRICE BID THAT YOU SUBMIT; (C) THAT THE PRICE THAT YOU SUBMIT OR ACCEPT WILL BE THE LOWEST AVAILABLE PRICE FOR THAT NEW VEHICLE; AND D) WE MAKE NO WARRANTY OR GUARANTEES REGARDING THE NEW VEHICLE THAT YOU ARE PURCHASING.
11. Indemnification
You agree to indemnify, defend and hold us, our agents, officers, directors, employees, independent contractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Platform.
12. Credit Card Chargebacks
If you have a question about a charge on your credit card, or if you believe there has been an error, we request that you call LetYouKnow before disputing a charge with your credit card company to discuss any questions or concerns about our charges with us. LetYouKnow will work with you in resolving your concerns. We reserve the right to dispute any chargeback that we believe is incorrect or fraudulent.
13. Internet Delays
Our software may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Except as set forth in by applicable law, LetYouKnow is not responsible for any delays, failures, or damages resulting from such problems.
14. Search Distance Radius
The search radius distance is determined by the zip code that you input. The method that we use to calculate the radius distance is the same method that the United States Census Bureau utilizes or will be measured by MAPQUEST Geocoding API coordinates of the zip code that you input.
15. Your Account and Password
When signing up for an account with us, you must provide accurate and complete information. You may only sign up for one account and LetYouKnow reserves the right to deactivate any additional or duplicate accounts.
a. Your Account Responsibility - You must be the sole authorized user of the account that you create and you will not allow other persons to use your account. You are responsible for any activities (including transactions) that occur under your account as you are responsible for keeping your password and account information secure.
b. Inactivity on the LetYouKnow Website - If you are signed into your account on the website or the mobile application and are inactive for 30 minutes, you may be logged out. For security purposes, we recommend that you log yourself out before leaving our Platform.
c. If You Believe That Your Account Has Been Breached - You must immediately notify LetYouKnow by email legal@letyouknow.com or by telephone (844)873-8300 of any unauthorized use of your account or any other breach of security. We will not be liable for losses, damages, liability, expenses, and fees incurred from someone else using your account, regardless of whether you have notified us of such unauthorized use.
16. Communication
LetYouKnow may communicate with you about your transaction by email, text messages, postings on the Platform, or other reasonable means. You acknowledge and agree that LetYouKnow will have no liability associated with or arising from your failure to maintain and supply LetYouKnow with your correct contact information, including your failure to receive important information about your transaction.
17. Referrals & Promotions
a. Referral Program
The LetYouKnow referral program ("Referral Program") gives you an incentive to refer your friends and family to become new customers of LetYouKnow. In order to participate in the Referral Program, you must create an account on the Platform. You will be issued a personalized referral code so that you may share that code with friends and family. For each person that you refer to the LetYouKnow Platform and who completes a new vehicle transaction at a matched dealership, you will receive $100.00 LetYouKnow Dollars (also referred to as “LYK Dollars”). LYK Dollars can only be used towards a future transaction on LetYouKnow. LYK Dollars have no cash value, are not legal United States tender, do not expire and the entire balance of your LYK Dollars will be applied to your next transaction. You will be responsible for paying the taxes on the new vehicle amount before any LYK Dollars are applied, according to the local and state laws where you reside. When your referred friend or family member completes their transaction, we will issue LYK Dollars at the time of a successfully placed LetYouKnow transaction by your friend or family member. Your participation in the Referral Program is subject to these Terms and Conditions. We reserve the right to withhold the referral amounts if we believe that the benefit of any referrals that we receive is in error, fraudulent, illegal, or in violation of the applicable terms of this Agreement. We reserve the right to change, terminate and/or cancel the Referral Program at any time, by our sole discretion and without notice to you.
b. Promotions
We may make LetYouKnow generated promotions available at our discretion at any time (other than our LetYouKnow Referral Program). Any promotions that we may offer are subject to these Terms and Conditions. Any promotional amounts will not be applied to the nonrefundable $799.00 service and reservation fee but will be applied to your remaining balance due at the matched dealership. You will be responsible for paying the taxes on the new vehicle amount before any LetYouKnow promotional amounts are applied, according to the local and state laws where you reside. We reserve the right to withhold the promotional amount(s) if we believe that the benefit of the promotion is received in error, is fraudulent, illegal, or in violation of the applicable terms or this Agreement. LetYouKnow reserves the right to change, terminate, discontinue and/or cancel any promotional programs at any time and in our sole discretion without notice to you.
18. Pricing Errors
In the event that an incorrect price is accepted, or any incorrect information has been displayed, due to typographical error or other error, we retain the right to cancel your transaction. If your Payment Method has already been charged for the nonrefundable $799.00 service and reservation fee and your transaction is canceled only because of incorrect pricing and/or incorrect information, we will promptly issue a credit to your Payment Method in the amount of the charge.
19. Links to Third-Party Websites
Our Platform may contain links to third-party websites, applications and websites. The links are only provided as a convenience and do not constitute an approval of LetYouKnow of any services of that corporation. We bear no responsibility for the accuracy, legality, or content of the external site. When you click on any link to a third-party, you are no longer subject to the terms of this Agreement or our Privacy Policy and you must contact the external site for any questions regarding that content.
20. Intellectual Property
Our Platform contains information that is proprietary and information that is protected by copyright laws, patent laws, international treaty provisions, trademarks, service marks and other intellectual property laws. The trademarks and logos displayed on the Platform are registered and unregistered trademarks of LetYouKnow and other third parties. Any other trademarks, logos, service marks, company or product names set forth in the LetYouKnow Platform are the property of their respective owners.
21. General Use of the Platform
a. You agree that once your price is successfully matched to one of our participating dealerships for your selected new vehicle and you complete your transaction on our Platform for the nonrefundable $799.00 service and reservation fee, that the submitted price is final (the submitted price does not include any taxes, title fees, registration fees and/or license plate fees and any other fees and/or taxes based on all applicable local, state and federal laws). Any discounts advertised by the matched dealership will not be applicable to your transaction at the matched dealership. If the matched dealership has included any cash rebates and/or incentives from the manufacturer, those cash rebates and/or incentives will be included in your submitted price on the Platform. You will be responsible for paying the taxes on the new vehicle amount before any cash rebates and/or incentives and/or LetYouKnow promo codes are applied, according to the local and state laws where you reside.
b. You agree that when completing your transaction on the LetYouKnow Platform that you will not receive the Vehicle Identification Number (VIN) of the vehicle that you have reserved. You will receive a new vehicle with the same specifications that you agreed to on the LetYouKnow Platform. You may request the VIN from the matched dealership after completing your transaction on the LetYouKnow Platform. In some circumstances, you may not receive the vehicle with the same VIN that the matched dealership provides to you. If that occurs, the matched dealership must provide a replacement new vehicle with a minimum of the original chosen criteria that you submitted. If the matched dealership does not have a matched replacement new vehicle and cannot provide a matched replacement new vehicle within a 10-day period from the timestamp of your completed transaction or any other timeframe that you and the matched dealership voluntarily and mutually agreed to (LetYouKnow is not responsible and/or liable for any agreement(s) that you make with the matched dealership), you will then receive a refund of the nonrefundable $799.00 service and reservation fee. However, if you choose to purchase a different vehicle (new or used) at the matched dealership, even though the matched dealership did not have a replacement new vehicle with the exact specifications of the new vehicle that you originally reserved, you will not receive a refund of the nonrefundable $799.00 service and reservation fee.
c. You agree that if your reserved new vehicle (not including UnlockedCarDeals where you agreed to disclosures listed on the reserved vehicle) has any discovered blemishes, the matched dealership may either repair any discovered blemishes, so that the reserved vehicle is restored to a like-new condition or provide a replacement new vehicle with a minimum of the original chosen criteria that you submitted. If the matched dealership refuses to repair any discovered blemishes and the dealership will not provide a replacement vehicle with a minimum of the specifications of the new vehicle that you reserved, you will then receive a refund of the nonrefundable $799.00 service and reservation fee.
d. Stated explicitly, LetYouKnow does not own or operate any vehicle dealerships, does not own or sell any vehicles, cars, automobiles or motor vehicles and is not a broker or agent for any dealerships or a broker or agent for other products and services offered by any third parties. You agree that you understand that you are purchasing your new vehicle from the dealership that you are matched with, you understand that you are not purchasing your vehicle from LetYouKnow and that LetYouKnow will not be a party to your vehicle purchase at the matched dealership. LetYouKnow only provides a deal-matching service that uses patented technology to match buyers with dealerships.
e. You agree that you understand that LetYouKnow does not provide any financing services and does not provide any information about financing services. We are not responsible for any agreement that you make with any financing company or third-party company.
f. You agree that you must contact the matched dealership that you completed your transaction with if you have any questions about the new vehicle that you purchased.
g. You agree that if you have any issues with your transaction on our Platform, or if you believe there are any errors or discrepancies regarding the price and/or the condition of your matched new vehicle, you will contact us immediately by calling us at (844)873-8300 or by email at info@letyouknow.com.
h. You agree that the matched dealership may attempt to sell you additional accessories, extended warranties, etc., when completing your new vehicle transaction. If you decline to purchase anything additional from the matched dealership, the matched dealership must still honor the original accepted price (accepted price does not include any taxes, title fees, registration fees and/or license plate fees and any other fees and/or taxes based on all applicable local, state and federal laws) for the matched new vehicle or a replacement new vehicle that satisfies a minimum of your original chosen criteria that you submitted on LetYouKnow.
i. You agree that you understand that unless you choose the shipping option (if the new vehicle is eligible for shipping), you must travel to the matched dealership to complete your new vehicle transaction. If you choose shipping, the matched new vehicle will be delivered by the matched dealership, in the manner they choose. Shipping costs are based on the actual driving miles that the shipping transporter travels to your delivery address. LetYouKnow, Inc. does not provide the shipping services and this option is only available through the dealership. LetYouKnow is not liable for any shipping issues, but our customer support team will assist if there is an issue or discrepancy.
j. You agree that LetYouKnow does not facilitate any trade-in transactions between you and the matched dealership. If you wish to trade-in your current vehicle at the matched dealership, you must contact the matched dealership for information regarding trade-ins. The matched dealership is under no obligation to process a trade-in transaction. If you have a vehicle that you wish to trade in as part of your transaction for your new vehicle at the matched dealership, that trade-in transaction will be solely between you and the matched dealership. LetYouKnow is not responsible or liable for any trade-in agreement you make with the matched dealership. Depending on the state that you reside in, you may have to pay taxes on the vehicle amount before your trade-in amount is applied to the final amount of your total at the matched dealership. Please refer to the local and state laws where you reside.
k. You agree to provide proof of current automobile insurance to the matched dealership for your new vehicle when completing your new vehicle transaction (if required by any applicable laws). You also agree that it is your responsibility to contact the matched dealership before completing your new vehicle transaction to inquire if you need to provide any additional necessary documents.
l. You agree that if you use the Platform on behalf of a family member or a third party, that you are responsible for supplying the correct information on behalf of that third-party person and you are asserting that you have permission from that third party to submit their information, including their Payment Method.
m. You agree not to use our Platform for any fraudulent activities, including but not limited to, placing fraudulent price bids and/or using a fraudulent payment method. We reserve the right to cancel any price bid submissions and/or transaction(s) that we reasonably believe to have been fraudulently made or made with an unauthorized Payment Method.
n. You agree that LetYouKnow is not responsible or liable for any additional and/or alternate agreements and/or transactions that you make with the matched dealership.
o. You agree that your access to and use of the LetYouKnow Platform does not grant you any right or license to use any of the content on the Platform. You may copy, print, and/or download your transaction information from the Platform for your own personal use.
p. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion or use of, or access to, the Platform.
q. You agree not to compile any content displayed on the Platform except for your own personal noncommercial use.
r. You agree not to gain unauthorized access to the Platform (including the Platform’s content, computer system or networks connected to the Platform) though hacking, password mining or by any other means.
s. You agree that we reserve the right to modify, suspend, or terminate this Platform and/or any portion thereof, including any service and/or your profile, account password, or use of the Platform, at any time for any reason with or without notice to you. You are still bound by your obligations under this Agreement.
t. You agree that if any part of this Agreement is found to be invalid, the validity of the remainder of this Agreement shall remain in full force and effect. You also agree that the failure of LetYouKnow to enforce any part of this Agreement does not constitute a waiver of any part of this Agreement.
u. You agree that prices are subject to change without prior notice.
v. You agree that if you choose the pre-order option, please be aware that the average wait time for pre-orders is nine (9) weeks, but it is possible that the new vehicle will be available immediately. In some circumstances, the new vehicle may not be available for up to twelve (12) months. If the new vehicle is available immediately, it will have less than 199 test-driven miles. Once you are notified that the vehicle is available, you must complete your new vehicle purchase within 10 days of the notification of availability (excluding cases where the 10th day falls on a day the dealership is closed, which will then result in a shorter than 10-day period. See full Terms and Conditions for more details). Failing to complete your new vehicle transaction during the allocated 10 calendar day period, will result in losing your reservation and you will not be refunded the $799.00 nonrefundable Service and Reservation Fee.
w. You agree to exceptions to the nonrefundable $799.00 Service and Reservation Fee:
1. If the dealer declines to adhere to the deal terms and is unable or unwilling to furnish a comparable replacement for the matched new vehicle at a price equivalent to the outstanding balance owed at the dealership.
2. If you are unable to obtain financing for the completion of your new vehicle transaction with the dealership, LetYouKnow may refund the nonrefundable service and reservation fee. To qualify for a refund, you must submit two (2) letters/statements from the financing companies you applied with, confirming your inability to secure financing.
3. If you have a medical issue, terminal illness or a mental impairment or other impairment that affects your judgment. LetYouKnow would require reasonable proof of any of the above, including, but not limited to a court order and/or a letter from a family member or friend/caretaker stating that you have any of the above conditions or impairments.
4. If an individual under the age of eighteen (18) years old conducts a transaction on the LetYouKnow website.
5. If your payment method information has been stolen. In order to qualify for a refund, you would need to provide a police report stating the payment information has been stolen.
22. Modifications to these Terms and Conditions
We reserve the right at any time to amend, modify, or alter this Agreement by posting the amended terms on the Platform and we advise that you review these Terms and Conditions periodically as any changes that we make to our Terms and Conditions will be effective immediately upon the posting of the revised Terms and Conditions on the Platform. There may be additional terms and conditions regarding any LetYouKnow generated promotions, but those specific terms and conditions will be listed in detail when any promotions are offered.
